Colocation Contract

1. Services Provided

Synteq HPC, Inc. (formerly known as Crunchbits LLC) ("Provider") agrees to provide colocation services to [Client's Company Name] ("Client") at its datacenter located at [Datacenter Address] (the "Datacenter"). The colocation services include the provision of rack space, power, and network connectivity as outlined in Exhibit A.

2. Escort-Only Access

All access to the Datacenter shall be escort-only. Client personnel and authorized third parties shall be accompanied by a designated representative of the Provider at all times while inside the Datacenter premises.

3. Term

The initial term of this agreement shall be [Initial Term] months, commencing on [Start Date]. Either party may terminate this agreement with written notice of at least [Notice Period] days prior to the expiration of the initial term or any renewal term.

4. Fees and Payment

Client shall pay the fees outlined in Exhibit B for the colocation services. Payment shall be made [monthly/quarterly/annually] in advance. Late payments may incur a $75 late fee.

5. Compliance with Laws

Both parties shall comply with all applicable federal, state, and local laws and regulations. The parties agree that Wyoming law shall govern this agreement.

6. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information obtained during the provision of colocation services.

7. Insurance

Client shall maintain appropriate insurance coverage for its equipment and operations within the Datacenter. The insurance requirements are detailed in Exhibit C.

8. Security Measures

The Provider shall implement and maintain security measures to safeguard the Datacenter, including but not limited to access control, surveillance, and environmental controls. The details of these security measures are outlined in Exhibit D.

9. Service Level Agreement (SLA)

Provider agrees to maintain a minimum level of service as detailed in Exhibit E, including uptime guarantees, response times, and maintenance procedures.

10. Indemnification

Each party agrees to indemnify and hold harmless the other party from any claims, damages, or losses arising out of the breach of this agreement.

11. Data Backup and Recovery

Client is solely responsible for the backup and recovery of its data. Provider shall not be liable for any loss or corruption of client data. Details on backup and recovery procedures are outlined in Exhibit F.

12. Equipment Maintenance

Client is responsible for the maintenance and repair of its equipment. Provider shall not be responsible for any damage to or loss of client equipment. Details on equipment maintenance responsibilities are outlined in Exhibit G.

13. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the State of Wyoming. Any legal action or proceeding arising out of or relating to this agreement shall be brought exclusively in the state or federal courts located in the State of Wyoming.

14. Miscellaneous

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
